In addition, some services offered through the Service may be subject to additional terms and conditions specified by Centerfire Press from time to time; your use of such services is subject to those additional terms and conditions, which are incorporated into these Terms of Use by this reference. These Terms of Use apply to all users of the Service, including, without limitation, users who are contributors of Content (as defined below), information, and other materials or services on the Site, individual users of the Service and referrals of the Service.

CHANGES TO THIS AGREEMENT

Centerfire Press reserves the right, at its sole discretion, to modify or replace any of these Terms of Use, or change, suspend, or discontinue the Service (including without limitation, the availability of any feature, database, Content, or image) at any time by posting a notice on the Site or by sending you notice through the Service or via email. Centerfire Press may also impose limits on certain features and services or restrict your access to parts or all of the Service without notice or liability. It is your responsibility to check these Terms of Use periodically for changes. Your continued use of the Service following the posting of any changes to these Terms of Use constitutes acceptance of those changes. You should check for revisions to this Agreement each time you access the Site. Your continued use of the Service or the Site following the posting of any changes to this Agreement constitutes acceptance of those changes.

REGISTRATION AND ELIGIBILITY

Failure to do so shall constitute a breach of these Terms of Use, which may result in immediate termination of your Centerfire Press account, if applicable. You shall not:

• use a username that is the name of another person with the intent to impersonate that person; or,

• use a username or Centerfire Press account that is subject to any rights of a person other than you without appropriate authorization.

Centerfire Press reserves the right to refuse registration of, or to cancel an account in its sole discretion, if applicable. You are solely responsible and liable for activity that occurs on your account and the information you provide (such as a contact form) and you shall be responsible for maintaining the confidentiality of your Centerfire Press password, if applicable. You agree to immediately notify Centerfire Press of any unauthorized use of your account, or other account related security breach of which you are aware.

You represent and warrant that, if you are an individual, you are of legal age to form a binding contract, and that, if you are registering on behalf of an entity, that you are authorized to enter into and bind the entity to these Terms of Use and register for the Service.

All Content made accessible by Centerfire Press on or through the Service is the sole responsibility of the person who originated them. Centerfire Press does not represent, support, approve or guarantee the completeness, accuracy, authenticity or reliability of any Content.

By providing Content to Centerfire Press, you grant Centerfire Press a worldwide, non-exclusive, royalty-free license to use, copy, distribute, process, publish, and transmit such Content in any and all media or distribution methods, even where such Content contains, consists of, or includes Content covered by intellectual property rights. By providing Centerfire Press with Content, you grant Centerfire Press a right to sublicense and allow Centerfire Press to distribute such Content to other companies, organizations or persons who partner with Centerfire Press for the syndication, consolidation, broadcast, distribution or publication of such Content.

You are responsible for your use of the Service and for your Content. You understand that, by providing Centerfire Press with Content, you represent that you have the right to submit such Content, and you represent and warrant that you have all the rights, power and authority necessary to grant the rights granted herein with respect to such Content.

It is the policy of Centerfire Press to (1) block access to or remove material that it believes in good faith to be copyrighted material that has been illegally copied and distributed by any of our advertisers, affiliates, content providers, members or users; and (2) remove and discontinue service to repeat offenders.

CENTERFIRE PRESS AND THE CENTERFIRE PRESS PARTIES WILL NOT UNDER ANY CIRCUMSTANCE BE HELD LIABLE TO YOU AND/OR ANY OTHER PERSON FOR ANY LOSS OF USE, LOSS OF PRODUCTION, LOSS OF INCOME OR PROFITS (ANTICIPATED OR OTHERWISE), LOSS OF MARKETS, ECONOMIC LOSS, SPECIAL, INDIRECT OR CONSEQUENTIAL LOSS OR DAMAGE OR PUNITIVE DAMAGES, WHETHER IN CONTRACT, TORT OR UNDER ANY OTHER THEORY OF LAW OR EQUITY, ARISING FROM, CONNECTED WITH, OR RELATING TO THE USE OF THE SITE BY YOU OR ANY OTHER PERSON, AND REGARDLESS OF ANY NEGLIGENCE OR OTHER FAULT OR WRONGDOING BY CENTERFIRE PRESS OR ANY OF THE CENTERFIRE PRESS PARTIES OR ANY PERSON FOR WHOM CENTERFIRE PRESS OR ANY OF THE CENTERFIRE PRESS PARTIES ARE RESPONSIBLE, AND NOTWITHSTANDING THAT CENTERFIRE PRESS OR THE CENTERFIRE PRESS PARTIES MAY HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGES BEING INCURRED BY YOU OR ANY OTHER PERSON.

LIABILITY LIMITATION

IN NO EVENT WILL CENTERFIRE PRESS OR ANY OF THE CENTERFIRE PRESS PARTIES TOTAL LIABILITY TO YOU OR ANY OTHER PERSON FOR ANY CLAIMS, PROCEEDINGS, LIABILITIES, OBLIGATIONS, DAMAGES, LOSSES, AND COSTS, WHETHER IN CONTRACT, TORT OR UNDER ANY OTHER THEORY OF LAW OR EQUITY, AND REGARDLESS OF ANY NEGLIGENCE OR OTHER FAULT OR WRONGDOING BY CENTERFIRE PRESS OR ANY PERSON FOR WHOM CENTERFIRE PRESS IS RESPONSIBLE.

RELEASE

YOU HEREBY RELEASE, REMISE AND FOREVER DISCHARGE EACH OF CENTERFIRE PRESS AND THE CENTERFIRE PRESS PARTIES AND ALL OF THEIR RESPECTIVE AGENTS, DIRECTORS, OFFICERS, EMPLOYEES, INFORMATION PARTIES, SERVICE PARTIES, SUPPLIERS, LICENSORS AND LICENSEES, AND ALL OTHER RELATED, ASSOCIATED, OR CONNECTED PERSONS FROM ANY AND ALL MANNER OF RIGHTS, CLAIMS, COMPLAINTS, DEMANDS, CAUSES OF ACTION, PROCEEDINGS, LIABILITIES, OBLIGATIONS, LEGAL FEES, COSTS, AND DISBURSEMENTS OF ANY NATURE AND KIND WHATSOEVER AND HOWSOEVER ARISING, WHETHER KNOWN OR UNKNOWN, WHICH NOW OR HEREAFTER EXIST, WHICH ARISE FROM, RELATE TO, OR ARE CONNECTED WITH YOUR USE OF THE SITE.

INDEMNITY

YOU AGREE TO INDEMNIFY, DEFEND AND HOLD HARMLESS EACH OF CENTERFIRE PRESS AND THE CENTERFIRE PRESS PARTIES AND ALL OF THEIR RESPECTIVE AGENTS, DIRECTORS, OFFICERS, EMPLOYEES, INFORMATION PARTIES, SERVICE PARTIES, SUPPLIERS, LICENSORS AND LICENSEES, AND ALL OTHER RELATED, ASSOCIATED, OR CONNECTED PERSONS (COLLECTIVELY, THE “INDEMNIFIED PARTIES”) FROM AND AGAINST ANY AND ALL LIABILITIES, EXPENSES AND COSTS, INCLUDING WITHOUT LIMITATION REASONABLE LEGAL FEES AND EXPENSES, INCURRED BY THE INDEMNIFIED PARTIES IN CONNECTION WITH ANY CLAIM OR DEMAND ARISING OUT OF, RELATED TO, OR CONNECTED WITH YOUR USE OF THE SITE, THE USE OF THE SITE BY SOMEONE POSING AS YOU, OR YOUR BREACH OF THIS AGREEMENT. YOU WILL ASSIST AND CO-OPERATE AS FULLY AS REASONABLY REQUIRED BY THE INDEMNIFIED PARTIES IN THE DEFENCE OF ANY SUCH CLAIM OR DEMAND. YOU FURTHER AGREE TO INDEMNIFY CENTERFIRE PRESS AND THE CENTERFIRE PRESS PARTIES FROM ALL SUITS, DAMAGES, COSTS AND LIABILITIES WHATSOEVER ARISING FROM ANY TRANSACTIONS IN WHICH YOU ENGAGE USING PRODUCTS OR SERVICES OBTAINED FROM OR THROUGH THE SITE.

ADVICE AND INFORMATION PROVIDED BY CENTERFIRE PRESS OR ITS REPRESENTATIVES, WHETHER ORAL OR WRITTEN, WILL NOT CREATE ANY REPRESENTATION, WARRANTY OR CONDITION OR VARY OR AMEND THIS AGREEMENT, INCLUDING THE ABOVE DISCLAIMER, LIABILITY EXCLUSION, LIABILITY LIMITATION, RELEASE AND INDEMNITY PROVISIONS, AND YOU MAY NOT RELY UPON ANY SUCH ADVICE OR INFORMATION.

The disclaimer, liability exclusion, liability limitation, release and indemnity provisions in this Agreement survive indefinitely after the termination of this Agreement.

BREACH OF THIS AGREEMENT AND THE SITE

If you breach any provision of this Agreement, you may no longer use the Site and Service.

Centerfire Press may, in its sole discretion, change, suspend or terminate, temporarily or permanently, the Site or any part of it or any of its features at any time, for any reason, without any notice or liability to you or any other person.

Centerfire Press may at any time and for any reason, with or without cause, with or without notice or liability to you or any other person, and in its sole discretion, immediately suspend or terminate (in whole or in part) your permission to use the Site and your login credentials if applicable.

If this Agreement or your permission to use the Site or Service is terminated by you or Centerfire Press for any reason, this Agreement will nevertheless continue to apply and be binding upon you in respect of your prior use of the Site and your engagement of the services of Centerfire Press through the Site and anything connected with, relating to or arising from those matters.

OTHER SITES

The Site may include links to other websites, advertisements or resources and businesses operated by other persons (“Other Sites”). Other Sites are independent from Centerfire Press, and Centerfire Press has no responsibility or liability with respect to, or control over Other Sites, their businesses, goods, services, or content.

Centerfire Press does not sponsor or endorse any Other Sites or their content or the services available through those Other Sites. Your use of Other Sites and your dealings with the owners or operators of Other Sites is at your own risk, and you shall not make any claim against Centerfire Press arising out of your use of any Other Sites or your dealings with the owners or operators of any Other Sites. As between you and Centerfire Press, the provisions of this Agreement under the section headed Disclaimer, Liability Exclusion, Liability Limitation, Release and Indemnity apply, with all necessary modifications, to your access to and use of any Other Sites and their business, goods, services, and content.

LINKING AND FRAMING THE SITE

Links to the Site without the express written permission of Centerfire Press are strictly prohibited. To request permission to link to the Site, please contact Centerfire Press. Centerfire Press reserves the right to cancel and revoke any permission it may give to link to the Site at any time, for any reason, without any notice, and without any liability to you or any other person. The framing of the Site or any of its Content in any form and by any method is strictly prohibited.

POSTINGS AND UNSOLICITED SUBMISSIONS

Centerfire Press does not accept or consider unsolicited ideas, including ideas for new advertising campaigns, new promotions, new or improved goods, services or technologies, product website enhancements, processes, or marketing plans. The purpose of this policy is to avoid potential misunderstandings or disputes. Accordingly, please do not send any unsolicited ideas, suggestions, proposals or other materials (collectively “Submissions”) to Centerfire Press or the Site. However, if you do send Submissions to Centerfire Press or the Site you automatically grant (or warrant that the owner of the Submissions grants) to Centerfire Press and its assigns a perpetual, royalty-free, irrevocable, unrestricted, non-exclusive, worldwide, assignable, sublicensable, right and license to use, copy, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display and otherwise exploit the Submissions or any ideas, concepts, know-how or techniques associated with the Submissions for any purpose whatsoever, commercial or otherwise, using any form, media or technology now known or later developed, without providing compensation to you or any other person, without any liability whatsoever, and free from any obligation of confidence or other duties on the part of Centerfire Press or its assigns, and you agree, represent and warrant that all moral rights in the Submissions are waived in favour of Centerfire Press and its assigns.

GOVERNING LAW AND JURISDICTIONAL ISSUES

The Site is controlled, operated and administered by Centerfire Press from its offices within Canada. Centerfire Press makes no representation or warranty that the Site is appropriate or available for use at any locations outside Canada. If you access the Site from outside Canada, you are responsible for compliance with all applicable laws. These Terms of Use shall be interpreted, construed and governed by the laws in force in the Province of Ontario, Canada, without reference to its conflict of laws principles. Subject to the Arbitration and Actions Section below, each party hereby agrees to submit to the jurisdiction of the courts of the Province of Ontario and to waive any objections based upon venue. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms of Use.

ARBITRATION AND ACTIONS

Except where prohibited by applicable law, any controversy, claim or dispute arising out of or relating to these Terms of Use, your use of the Site or the relationship which results from these Terms of Use, including without limitation, the performance, breach, enforcement, existence or validity of the matters provided for in these Terms of Use which cannot be amicably resolved, even if only one of the parties declares that there is a difference (collectively, a “Claim”), will be referred to and finally settled (to the exclusion of the courts) by private and confidential binding arbitration before a single arbitrator held in Toronto, Ontario in English and governed by Ontario law pursuant to the Arbitration Act, 1991 (Ontario), as amended, replaced or re-enacted from time to time. The arbitrator shall be a person who is legally trained and who has experience in the information technology field in Canada and is independent of either party. Any such Claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim, controversy or dispute of any other party. You agree to waive any right you may have to commence or participate in any class action against us related to any Claim and, where applicable, you also agree to opt out of any class proceedings against us. Notwithstanding the foregoing, we reserve the right to pursue the protection of intellectual property rights and confidential information through injunctive or other equitable relief through the courts.

TERMINATION

You acknowledge and agree that Centerfire Press, in its sole and absolute discretion, may, without notice to you, suspend or terminate your account or your use of, or access to, the Site, and remove and discard any User Content, for any reason, including where Centerfire Press believes that you have violated any of these Terms of Use. You further agree that Centerfire Press shall not be liable to you or to any other person as a result of any such suspension or termination. If you are dissatisfied with the Site or with any terms, conditions, rules, policies, guidelines, or practices of Centerfire Press in operating the Site, your sole and exclusive remedy is to discontinue using the Site.

MISCELLANEOUS

These Terms of Use, the Centerfire Press Privacy Policy, and other documents referenced herein, constitute the entire agreement between Centerfire Press and you with respect to your use of this Site. Failure by Centerfire Press to insist upon or enforce strict performance of any provision of these Terms of Use shall not be construed as a waiver of any provision or right. If any of the Terms of Use is determined to be void, invalid or otherwise unenforceable by a court of competent jurisdiction, such determination shall not affect the remaining provisions hereof. The parties hereto have expressly requested that this Agreement and all documents related hereto be drawn up and signed in the English language only. The provisions of this Agreement will endure to the benefit of and be binding upon each of Centerfire Press and the Centerfire Press Parties and each of their respective successors and assigns and related persons and you and your heirs, executors, administrators, successors, permitted assigns, and personal representatives. You may not assign this Agreement or your rights and obligations under this Agreement without the express prior written consent of Centerfire Press, which may be withheld in the sole discretion of Centerfire Press. Centerfire Press may assign this Agreement and its rights and obligations under this Agreement without your consent and without notice to you.

No waiver, express or implied, by either party of any breach of or default under this Agreement will constitute a continuing waiver of such breach or default or be deemed to be a waiver of any preceding or subsequent breach or default.

You and Centerfire Press are independent contractors, and no agency, partnership, joint venture, employment or franchise relationship is intended or created by this Agreement or your use of the Site.

Any rights not expressly granted by this Agreement are reserved to Centerfire Press.
